REAL ALLOY is the market leader in third-party aluminum recycling and specification alloy production.  Headquartered in Cleveland, Ohio, we have 16 plants strategically located across the United States, Mexico, and Canada.  We convert aluminum scrap and by-products into reusable aluminum metal for a growing number of applications across various industries. Advanced technologies enable us to process a large variety of scrap and dross and reduce the amount of residual waste from aluminum manufacturing that would otherwise end up as landfill.

Responsibilities

Legal Counsel

 

This REAL ALLOY Legal Counsel role is designed for a qualified attorney with at least 7 years (post-JD) of legal experience either at a law firm or in-house. The role provides legal support across a broad spectrum of corporate, commercial, regulatory, and other legal matters, serving as a key advisor and subject matter expert to internal stakeholders with little supervision. The role involves such responsibilities as drafting, reviewing, and negotiating contracts, analyzing and advising on compliance matters, and supporting compliance matters.  The role requires strong business acumen and the ability to deliver practical legal solutions that align with organizational goals. Additional responsibilities include developing and delivering legal training programs, managing outside counsel, and contributing to the enhancement of legal processes and policies. The role reports to the Chief Administrative Officer, EVP and General Counsel.

 

  • Full-time, Exempt.
  • Hybrid: 2 days remote and 3 days per week in Beachwood, Ohio.

Primary Duties and Responsibilities:

  • Draft and review various types of commercial and vendor agreements, including vendor purchase and services agreements, logistic agreements, construction and engineering contracts, and non-disclosure agreements. 
  • Partner with internal stakeholders to gather necessary input, advise on contractual risk, address concerns, and align contract terms with business goals.
  • Provide practical, business-oriented solutions.
  • Assist with and at times lead and oversee negotiations with contractors, vendors, and other parties.
  • Develop and implement contract templates, playbooks, and fallback positions to optimize the contracting process.
  • Manage existing legal compliance training program.
  • Develop and conduct training on compliance and contract topics and procedures.
  • Review and draft Company policies and procedures on an as-needed basis.
  • Advise and provide support to internal clients on legal, compliance and regulatory related matters and issues.
  • Manage potential/threatened disputes and litigation.
  • Build and maintain strong internal client relationships based on responsiveness, sound judgment, and high-quality legal work.
  • Liaise with outside counsel as necessary on specific projects
  • Carry out additional legal duties as assigned to support the organization’s needs.

 

Qualifications

Legal Counsel

 

  • JD (Juris Doctor) degree.
  • At least 7 years of related experience at a law firm and / or in-house.
  • Strong analytical, problem solving, and organizational skills.
  • Detailed oriented.
  • Ability to communicate effectively and tactfully in person, in writing and by telephone, with a variety of stakeholders. 
  • Ability to self start and work both independently and collaboratively in a cross-functional team setting
  • Proficiency with Microsoft Office Suite
  • Proactive and ability to manage multiple matters independently with sound judgment and attention to detail.
